We reserve the right to withdraw or amend our services, and any service or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of our services are unavailable at any time or for any period.

• Maintain the security of your password and accept all risks of unauthorized access;
• Notify us immediately of any unauthorized use of your account;
• Not use our services for any illegal or unauthorized purpose;
• Not interfere with or disrupt the integrity or performance of our services;

4.1 Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of OxyNeo Tech and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

4.2 Your Intellectual Property

With respect to any custom software development services, intellectual property rights to the work product will be assigned to you upon full payment, as detailed in our service agreement.

4.3 License Grant

We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms and Conditions.

For services requiring payment, you agree to pay all applicable fees as described in our service agreements. Fees are non-refundable except as required by law or as otherwise specifically permitted in these Terms and Conditions.

5.1 Billing

We may invoice you for services rendered. Invoices are due upon receipt unless otherwise specified in the service agreement.

5.2 Late Payments

Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Both parties agree to maintain the confidentiality of any proprietary information received during the term of this Agreement. The obligation of confidentiality will survive the termination of this Agreement.

7.1 Disclaimer

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. OxyNeo Tech disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 Limitation of Liability

In no event shall OxyNeo Tech, nor its directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

You agree to defend, indemnify, and hold harmless OxyNeo Tech and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, resulting from or arising out of your use and access of the services, or a breach of these Terms.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Uttarakhand, India.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
